NorthSky standard single-organisation licence

1. Parties

Licensor: RMX DRIFT AS, organisation number 931 140 574, Wergelands vei 2, 3117 Tønsberg, Norway, acting through its registered business unit NorthSky Aviation Consultancy, organisation number 931 140 701. Referred to below as NorthSky. Contact: post@northsky.no.

Licensee: the organisation named as buyer in the order. Where an individual bought the product in their own name and not for an organisation, that individual is the licensee and the licence covers their own use only.

The licence is granted by RMX DRIFT AS. NorthSky is the trading name under which it is presented. An invoice, a licence and a correction notice all issue from RMX DRIFT AS. See company identification.

2. What the licensee receives

On payment, NorthSky grants the licensee a perpetual, non-exclusive, non-transferable, worldwide licence to use the product for the licensee’s own internal purposes.

Perpetual means the licence does not expire and is not a subscription. It does not mean that the product will be kept current, and it does not entitle the licensee to future versions. Section 7 sets out what is and is not included.

3. Permitted use

The licensee may, without asking and without further payment:

1. Use the product internally, with no limit on the number of the licensee’s own employees, officers, or engaged individual contractors working under the licensee’s direction.
2. Store the product on the licensee’s own systems, including cloud services the licensee controls, and take the copies its own backup and continuity arrangements require.
3. Print it, and circulate copies internally.
4. Fill in, adapt, edit, and build upon any template, form, register, or worksheet the product provides, and use the result as the licensee’s own operational document.
5. Provide the completed result of that work — not the product itself — to a regulator, an auditor, an insurer, a client, or a counterparty, where the licensee needs to evidence its own operations. The product’s own source files, unmodified templates, and methodology text must not be included beyond what is necessary to show the licensee’s work.
6. Quote short extracts, with attribution to NorthSky and the product title, where fair use of a quotation is ordinarily accepted.

4. Restrictions

The licensee may not:

1. Redistribute, publish, resell, sublicense, lend, rent, or give away the product, in whole or in substantial part, whether or not for payment.
2. Make the product available outside the licensee’s own organisation, including on an intranet, portal, or shared drive that parties outside the licensee can reach.
3. Use the product, or a document derived from it, to deliver advisory, consultancy, audit, or training services to a third party for payment. A consultancy that wishes to use NorthSky material in work for its own clients needs the enterprise licence.
4. Use the product, or any part of it, as training data, fine-tuning data, or retrieval corpus for a machine-learning or generative artificial-intelligence system, whether the licensee’s own or a third party’s. Using a general-purpose assistant to read a document in the ordinary course of the licensee’s own work is not caught by this restriction; ingesting the product into a system that then serves outputs to others is.
5. Remove, obscure, or alter a copyright notice, a version identifier, a source reference, a watermark, or the limitation statement in section 9.
6. Present the product, or a derivative of it, as the licensee’s own product, or as a product of any party other than NorthSky.
7. Share the download link, or credentials associated with the order, outside the licensee.

Where a group of companies buys once and intends group-wide use, that is a site or enterprise licence, not this one. Ask before assuming; NorthSky’s practice is to say yes on reasonable terms rather than to pursue an inadvertent breach.

5. Ownership

NorthSky retains copyright and all other intellectual property rights in the product, including in its structure, methodology, text, tables, and templates. This licence transfers no ownership.

The licensee owns:

• its own data, entered into or processed with the product;
• each document it produces using the product, to the extent of the licensee’s own contribution;
• the operational decisions it makes, which remain the licensee’s throughout.

Where a completed template necessarily reproduces NorthSky’s structure, the licensee holds a perpetual right to use and keep that completed document even if this licence later ends under section 8, because the licensee’s records must survive the commercial relationship.

6. Feedback

If the licensee reports an error, a gap, or an improvement, NorthSky may act on it in future versions without payment or attribution, and the licensee is not obliged to report anything. A report is not a transfer of the licensee’s own confidential information; do not send operational data that the licensee would not wish NorthSky to hold.

7. Versions, corrections, and currency

1. A correction or revision within the same major version is supplied to existing licensees at no cost. A new major version is supplied at no further cost to a licensee holding an active update subscription at the date it is released, and is otherwise a new purchase (WSD-026). An update subscription is optional and does not affect this licence. The licence granted in section 2 is perpetual whether or not a subscription is ever bought, and no subscription event ends it, suspends it or narrows it. A lapsed subscription withholds versions released after the last period paid for; it withdraws nothing the licensee already holds.
2. Every product states the regulatory baseline it was written against and the date by which it is to be reviewed. After that date, the product remains licensed and usable, but it is not represented as current.
3. NorthSky does not undertake to notify licensees of regulatory change, and this licence creates no monitoring, updating, or advisory duty. Keeping abreast of the rules that apply to the licensee’s operation remains the licensee’s responsibility.
4. Where NorthSky withdraws a product, the position is as set out in the withdrawal procedure: an existing licence continues, and the licensee is told what changed and why.

8. Term and termination

The licence begins on payment and continues indefinitely.

NorthSky may end it only on written notice, and only where the licensee has materially breached section 4 and has not stopped and remedied the breach within 30 days of being asked to. On termination the licensee must stop using the product and delete the copies it holds, except that it may keep the completed documents covered by section 5 and any copy it must retain to meet a legal or regulatory record-keeping duty.

The licensee may stop using the product at any time. No refund arises from termination by either party, save where the sales terms give a refund.

9. Standing of the product

The product is decision support and advisory material. It is not a permission, an authorisation, or a determination, and a licensee remains responsible for its own operations, its own submissions, and its own safety arrangements.

NorthSky provides operational risk decision support and advisory guidance. Outputs do not constitute regulatory certification, aerodrome licensing, compliance verification, or formal authority determinations.

That wording is fixed. It appears in this licence, in every product, and in the automated checks that run before a product may be released, so that the licence and the artefact cannot diverge.

10. Warranty

NorthSky warrants that the product was prepared with the care and skill to be expected of a competent specialist in the field, and that it corresponds to its published description at the date of sale. Where it does not, the remedy is correction and free reissue, and a refund where correction is not possible, as set out in the applicable sales terms.

Beyond that warranty, and beyond what Norwegian law does not permit to be excluded, the product is supplied as it stands. NorthSky does not warrant that the product fits a particular operation, that following it will produce a particular outcome, or that an authority, auditor, or insurer will accept a document derived from it.

11. Liability

NorthSky’s total liability arising out of the product and this licence is limited to the price paid for the product.

NorthSky is not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of contract, loss of goodwill, loss of or corruption of data, operational disruption, regulatory penalties imposed on the licensee, or claims made against the licensee by a third party.

Nothing in this section limits liability for gross negligence or intentional wrongdoing, or any other liability that Norwegian law does not permit to be limited. Where the licensee is a consumer, the consumer’s mandatory statutory rights apply and are not reduced by this section.

12. Transfer

The licensee may not transfer the licence, except that it may transfer it in whole as part of a merger, a demerger, or a sale of the business or business unit that uses the product, on written notice to NorthSky. The licensee cannot split one licence across two organisations by that route.

NorthSky may transfer its rights to a successor in its own business, on notice, and remains bound by this licence’s terms.

13. Governing law and disputes

This licence is governed by Norwegian law. The parties will attempt to resolve a dispute in discussion first. Failing that, the venue is Vestfold tingrett. Where the licensee is a consumer, the consumer may also use the ordinary Norwegian consumer complaint bodies, and nothing here displaces a consumer’s right to bring proceedings where the law otherwise permits.

14. Whole agreement, and changes

This licence, together with the sales terms that applied to the purchase and the product’s own published description, is the whole of what was agreed. Neither party relies on a statement made outside those documents.

NorthSky may issue a new version of this licence for future sales. A licence already granted is not changed by a later version; the licensee keeps the version in force at the time of purchase. Each version is kept in the repository history, so what was agreed on a given date can be established.
